ALL SEARCH RESULTS ARE PROVIDED “AS IS”. PHOENIX RESEARCH INC. MAKES NO REPRESENTATION OR WARRANTY WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE, AND IMPLIED WARRANTIES ARISING FROM THE COURSE OF DEALING OR A COURSE OF PERFORMANCE WITH RESPECT TO THE ACCURACY, VALIDITY, OR COMPLETENESS OF ANY INFORMATION RETURNED THAT WILL MEET REQUESTOR’S NEEDS, OR THAT WILL BE PROVIDED ON AN UNINTERRUPTED BASIS, AND PHOENIX RESEARCH INC. EXPRESSLY DISCLAIMS ALL SUCH REPRESENTATIONS AND WARRANTIES. PHOENIX RESEARCH INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, WHETHER INCURRED AS A RESULT OF NEGLIGENCE OR OTHERWISE, EVEN IF PHOENIX RESEARCH INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, PHOENIX RESEARCH INC. AGREES TO BE RESPONSIBLE FOR ACTUAL DAMAGES TO THE EXTENT OF AND MAXIMUM STATED HEREIN FOR THIRD PARTY CLAIMS DIRECTLY RESULTING FROM PHOENIX RESEARCH INC.’S SOLE NEGLIGENCE IN PROVIDING INFORMATION TO THE REQUESTOR. Phoenix Research Inc.’s maximum aggregate liability for damages will not exceed an amount equal to the normal price paid by Requestor to Phoenix Research Inc. for such Information at issue. Requestor shall indemnify, defend and hold harmless Phoenix Research Inc. from and against any and all claims, suits, proceeds, damages, costs, expenses (including, without limitation, reasonable attorneys’ fees and court costs) brought against Phoenix Research Inc., or suffered by any third party arising or resulting from, or otherwise in connection with Phoenix Research Inc.’s providing of Information to Requestor. |
